1. Scope

These Terms and Conditions (hereinafter referred to as “T&Cs”) apply to all users (hereinafter referred to as “Users”) of the platform operated by [Company Name] (hereinafter referred to as the “Platform”), on which images can be uploaded and sold. By registering on the Platform, Users accept these T&Cs and agree to comply with them. Any deviating terms and conditions of the User shall not apply unless expressly confirmed in writing by the Platform.

2. Services

The Platform provides an online marketplace that enables registered Users to offer, sell, and purchase images. The Platform is not directly involved in the transaction between the buyer and the seller. The Platform may provide additional services to Users, such as marketing tools, image editing tools, and customer support.

3. Registration and Account

3.1. To use the Platform, Users must register by providing their name, email address, and other required information. Users must be at least 18 years old or have the legal capacity to enter into a binding contract.

3.2. Users are responsible for maintaining the confidentiality of their account and password, as well as for restricting access to their devices. Users agree to accept responsibility for all activities that occur under their account or password.

4. Rights to Uploaded Images

4.1. Users who upload images (hereinafter referred to as “Content Providers”) retain all rights to their uploaded images. By uploading images, Content Providers grant the Platform a non-exclusive, royalty-free, worldwide, and transferable right to use, reproduce, distribute, prepare derivative works of, display, and perform the images in connection with the Platform and its services.

4.2. Content Providers represent and warrant that they own or have the necessary licenses, rights, consents, and permissions to grant the license mentioned in section 4.1.

5. Prohibited Content

5.1. Content Providers shall not upload, post, or transmit any image that:

(a) infringes on any third-party rights, including but not limited to copyrights, trademarks, or privacy rights; (b) contains any unlawful, obscene, offensive, defamatory, or otherwise inappropriate material; (c) promotes or incites violence, discrimination, or hatred; (d) violates any applicable laws or regulations; (e) contains any viruses, corrupted files, or other malicious code.

5.2. The Platform reserves the right to remove any content that violates these T&Cs, without prior notice and at its sole discretion. In case of repeated violations, the Platform may suspend or terminate the Content Provider’s account.

6. Sales and Licensing

6.1. Content Providers determine the price for their images. The Platform may charge a commission on the sales price. The commission rate will be communicated to the Content Provider before any transaction.

6.2. The buyer acquires a non-exclusive, royalty-free, worldwide, and transferable license to use the purchased image according to the license terms provided by the Content Provider.

7. Payment and Billing

7.1. The Platform will process payments on behalf of Content Providers and will pay out the sales revenue, minus any applicable commissions and fees, to the Content Provider’s designated account within a reasonable period.

7.2. The Platform may offer various payment methods for buyers, such as credit cards, PayPal, or bank transfers. The Platform reserves the right to add or remove payment methods at its discretion.

8. Liability and Indemnification

8.1. The Platform shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, or data, resulting from the use or inability to use the Platform and its services.
